These Terms & Conditions (“Terms”) govern your use of SolanaRWA (solanarwa.app), operated by Genai Pty Ltd (“we”, “us”, “our”). By using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using SolanaRWA, you agree to be bound by these Terms. If you do not agree, do not use the Service. We may update these Terms at any time, and your continued use constitutes acceptance of the updated Terms.

2. Service Description

SolanaRWA is a portfolio dashboard for tokenized real-world assets (RWAs) on Solana. The Service provides portfolio tracking, income management, depreciation schedules, and multi-jurisdiction tax report generation across supported protocols.

The Service is offered under a tiered pricing model:

  • Free: Full portfolio dashboard, auto-detection across 19 protocols, up to 5 assets, 90-day history.
  • Pro Monthly ($14.99/mo): Unlimited assets, auto-valuations, full depreciation history, up to 5 wallets.
  • Pro Yearly ($119/year): Everything in Pro Monthly, plus CSV & PDF exports and priority support.

3. Wallet Connection & Non-Custodial Nature

SolanaRWA is a non-custodial service. When you connect a Solana wallet (Phantom, Solflare, or any compatible adapter), we only access your public wallet address to scan for RWA token holdings. We never have access to your private keys. Your SOL, tokens, and all tokenized assets remain 100% under your control at all times.

4. Payments & Subscriptions

Premium subscriptions can be purchased via credit/debit card (processed by Stripe) or with SOL, USDC, or USDT on Solana. All payments are final and non-refundable due to the nature of digital services and blockchain transactions. Subscriptions automatically renew unless cancelled before the renewal date.

5. Tax Advice Disclaimer

The Service is provided for informational purposes only and does not constitute tax, legal, or financial advice. Tax reports, depreciation schedules, income summaries, and capital gains calculations generated by SolanaRWA are estimates and should not be relied upon as the sole basis for tax filing. Always consult a qualified tax professional for decisions regarding your tax obligations.

6. Data Accuracy

We make no warranties regarding the completeness, accuracy, or timeliness of blockchain data, token prices, or valuations displayed by the Service. Price data is sourced from third-party providers including Jupiter and CoinGecko, and may differ from prices on specific exchanges or platforms.

7. International Tax Context

SolanaRWA supports tax reporting for Australia (ATO), the United States (IRS), the United Kingdom (HMRC), and Canada (CRA). Tax treatment of tokenized real-world assets is an evolving area of law, and regulatory guidance may change. The Service applies current best-practice interpretations but makes no guarantee of compliance with any specific jurisdiction's requirements.

8. Depreciation Disclaimer

The Service provides depreciation calculations using five methods: MACRS (US), CCA (Canada), Diminishing Value (Australia), Reducing Balance (UK), and Straight-Line (universal). These calculations are estimates based on the asset details you provide (acquisition cost, useful life, salvage value). Actual depreciation for tax purposes may differ based on your specific circumstances, asset classification, and applicable tax authority rules.

9. Swap & Trading Disclaimer

The Service includes an optional in-app swap interface that embeds the Jupiter Plugin to route trades across Solana DEX liquidity. The in-app swap is currently offered only on the SolanaRWA web app at solanarwa.app; it is not available inside our mobile app builds (including the Seeker Store and Google Play distributions), where the Service operates in a tracking-only capacity. When you initiate a swap, you are interacting directly with Jupiter and the underlying decentralised exchanges — SolanaRWA is not a counterparty to your trade, does not custody your tokens, and does not execute transactions on your behalf. All on-chain transactions are signed and broadcast by your own wallet.

You are responsible for reviewing each transaction before signing, including the input and output token, expected amounts, slippage tolerance, and any fees. Outcomes such as slippage, failed transactions, MEV, partial fills, or unexpected routing are inherent to decentralised trading and are not the responsibility of SolanaRWA. Cost-basis auto-recording is provided on a best-effort basis using on-chain data and may, in edge cases, fail to record or record incorrectly — you remain responsible for verifying your portfolio records.

Some tokenized real-world assets are subject to issuer-imposed jurisdictional restrictions or wallet-level eligibility gating. For example, Backed Finance's xStocks are not available to U.S. persons under their issuer terms, and Ondo Global Markets equities enforce on-chain transfer hooks that require the receiving wallet to have completed KYC and accreditation with the issuer — transactions from wallets that have not been verified by the issuer will fail at the protocol level. You are solely responsible for ensuring that your trading activity complies with the issuer's terms and any applicable laws, regulations, or sanctions in your jurisdiction, and for completing any KYC, accreditation, or whitelisting required by the token issuer before attempting to trade. SolanaRWA does not enforce these restrictions, does not perform KYC on your behalf, and provides any advisories as a courtesy only.

Where SolanaRWA is configured with a Jupiter referral account, a platform fee may be deducted from the output of your swap. The fee rate is displayed in the swap interface before you confirm. This fee is in addition to any liquidity provider fees, network fees, or other costs charged by Jupiter or the underlying DEXes.

Solana transactions require a small SOL balance in your wallet to cover network fees and, for tokens you have not previously held, a one-time rent deposit (currently approximately 0.002 SOL) to create a token account for the asset. You are responsible for maintaining a sufficient SOL balance to cover these costs; swaps initiated from wallets without enough SOL will fail at the network level. SolanaRWA does not subsidise or refund these costs.

Nothing in the Service constitutes investment advice, a recommendation to trade any particular asset, or an offer to buy or sell securities. Tokenized real-world assets carry risks including but not limited to market risk, smart-contract risk, issuer risk, liquidity risk, and regulatory risk.

10. Limitation of Liability

To the maximum extent permitted by law, SolanaRWA and Genai Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to errors in tax calculations, inaccurate price data, losses resulting from reliance on information provided by the Service, or losses resulting from any swap or on-chain transaction initiated through the Service.

11. No Warranty

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Acceptable Use

You agree not to use the Service for any unlawful purpose, to attempt to gain unauthorised access to any part of the Service, to interfere with or disrupt the Service, or to use automated systems to access the Service in a manner that exceeds reasonable usage.

13. Intellectual Property

All content, design, code, and branding associated with SolanaRWA are the property of Genai Pty Ltd. You may not reproduce, distribute, or create derivative works from any part of the Service without written permission.

14. Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms, and will post changes on this page. Continued use after modifications constitutes acceptance of the revised Terms.

15. Governing Law & Contact

These Terms are governed by the laws of Australia. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Australia.
